Terms of Use

Welcome to Perdure. These Terms of Use (the “Terms”) govern your use of the website at perdure.ai, the application at app.perdure.ai, and our paid research panel (together, the “Service”). Perdure is a service operated by Brox AI, Inc. (“Brox”, “Perdure”, “we”, “us”, “our”), a Delaware corporation with offices at 1734 Granville Avenue, Unit 2, Los Angeles, California 90025.

By creating an account, clicking to accept these Terms, or using the Service, you agree to these Terms and to our Privacy Policy. You also represent that you are at least 18, of legal age to form a binding contract, and not barred from using the Service under any applicable law. If you do not agree, do not use the Service.

Please read Section 12 (dispute resolution and arbitration) carefully. Unless you opt out within 30 days, it requires that most disputes between you and Perdure be resolved by binding individual arbitration and waives your right to a jury trial and to take part in a class action.

Consumers resident in Germany: the following German-language supplement modifies these Terms for you and prevails where they conflict — see AGB für Verbraucher in Deutschland and the Widerrufsbelehrung. German law governs, you keep access to the ordinary courts, the arbitration/class-action waiver and the $100 liability cap do not apply, and you have a 14-day right of withdrawal.

1. Who can use Perdure

You must be 18 or older, provide true and accurate information about yourself, and maintain only one account. The Service is currently available only to people based in the United States, United Kingdom, Germany, Turkey, and Japan.

Verification. We may ask you to verify your identity, age, location, or other profile details at any time, including after you have started participating. If you are outside a supported country, or you do not complete verification when asked, you will not be eligible for compensation and your account may be suspended or blocked.

2. Your account

You are responsible for keeping your login credentials secure and for all activity on your account. You may not share your account, create one using a false identity or on behalf of someone else, or hold more than one account at a time. You acknowledge that you have no ownership interest in the account itself. Tell us promptly at hello@perdure.ai if you believe your account has been compromised.

3. Participating in research

Research participation involves AI voice conversations, video interviews, and occasional other formats. Invitations to paid studies are based on the profile you give us and on who we reasonably believe you to be: a study may, for example, be limited to a specific age group, location, or set of experiences. You agree to:

  • answer as yourself, honestly and thoughtfully (the entire value of Perdure is real people giving real answers);
  • keep your profile information true and up to date, including your age, location, and other demographic details;
  • not use bots, scripts, AI tools, or any other automation to generate responses;
  • not misrepresent who you are, your circumstances, or your opinions, including to qualify for studies you would not otherwise be invited to.

You can decline any topic, pause any conversation, and stop participating at any time. If you withdraw from a conversation before completing it, you may not be eligible for that conversation's payment. To protect the integrity of our research, you agree not to publish or otherwise disclose the specific content of any study you take part in.

4. Compensation

  • Rates are shown before you start each conversation. Published earnings figures are ranges, not guarantees; what you earn depends on your participation and the studies available.
  • Payouts are made in cash via the payout methods shown in the app, normally within 30 days of a completed conversation.
  • Referral bonuses are a fixed amount, paid once a person you refer has completed a set number of paid conversations, and are subject to program limits (per-referral and aggregate caps) described in the app.
  • Withholding and reversal: if your account information, identity, location, demographic details, or responses are fraudulent, automated, manipulated, or materially inaccurate (including misrepresenting your age group or country to qualify for studies), we may withhold, cancel, reverse, or recoup compensation, suspend or block your account, and where appropriate report the conduct to payment providers or law enforcement.
  • We may also delay or suspend a payout while we confirm your identity, investigate suspected fraud or a breach of these Terms, or resolve a dispute about a conversation.
  • You are responsible for any taxes on amounts you earn. We may be required to collect tax information and report payments to tax authorities.

5. Your data and your twin

Your conversations are recorded, transcribed, and used to build your digital twin, as described in the Privacy Policy. By participating, you grant Perdure and Brox a licence to use your responses to provide the Service, produce anonymised, aggregated research insights, and improve our research models. We will never attribute a quote to you by name, and clients never receive your identity. Your account, profile and conversation data are never shared or sold for marketing, advertising, or targeting purposes, and data from them that identifies you is never disclosed to research clients or any other third party (our service providers process it only on our behalf and under our instructions, as described in the Privacy Policy; the optional website ad-measurement pixel concerns website visits only and is described in Privacy Policy Section 11). You can delete your twin and your account at any time.

6. Intellectual property

The Service, including its software, design, trademarks, and content (other than your responses), is owned by Perdure, Brox, and their licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal, non-commercial purposes. You may not remove or obscure any proprietary notices. Any feedback or suggestions you send us may be used freely and without obligation to you.

7. Acceptable use

You agree not to: misrepresent your identity; submit automated or artificial responses; share or publish the content of research sessions (you're welcome to say you're a Perdure member); attempt to identify other panel members; impersonate anyone; scrape, reverse-engineer, frame, or interfere with the Service or its security; introduce malicious code; or use the Service for anything unlawful. Any unauthorised use ends the licences granted in these Terms.

8. Third-party services

Payouts and some features rely on third-party services (e.g. PayPal, Venmo, and bank transfer). Your use of those services is governed by their own terms, and we are not responsible for them.

9. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any result or information obtained from it will be accurate. Any beta or experimental features are offered without warranty and may change or be withdrawn at any time.

Insights your twin provides about you are for personal reflection only. They are not medical, psychological, financial, or legal advice, and are not a diagnosis of anything. If you are struggling, please talk to a qualified professional.

10. Limitation of liability

To the maximum extent permitted by law, Perdure and Brox will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, on any theory of liability, whether or not we have been advised of the possibility. Our total liability arising out of these Terms or the Service will not exceed the greater of $100 or the amounts we paid you in the 12 months before the claim arose. Some jurisdictions do not allow these limitations, so some may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Perdure, Brox, and their affiliates, officers, employees, and agents from any claims, losses, and reasonable legal costs arising from your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right. This does not require you to indemnify us for our own fraud, misrepresentation, or unconscionable conduct. This section survives termination.

12. Dispute resolution and arbitration

Please read this section carefully. It affects your legal rights, requires individual arbitration of most disputes, and waives jury trials and class actions.

12.1 Scope. Except as stated below, you and Perdure agree that any dispute, claim, or disagreement arising out of or relating to the Service or these Terms (a “Dispute”) will be resolved by binding individual arbitration, not in court. The exceptions: either party may (i) bring a qualifying claim in small-claims court, and (ii) seek injunctive relief in court to protect intellectual property.

12.2 Informal resolution first (required). Before starting arbitration, the complaining party must send a written notice of the Dispute and then take part, individually, in a good-faith phone or video conference to try to resolve it. Send your notice to hello@perdure.ai or to Brox AI, Inc., 1734 Granville Avenue, Unit 2, Los Angeles, California 90025, including your name, contact details, the email on your account, and a description of the Dispute. The conference will be held within 45 days of the notice. Completing this informal process is a condition of starting arbitration, and the relevant time limits are paused while it is underway.

12.3 Jury and class waiver. You and Perdure waive any right to sue in court and to a jury trial. Except in the batch process below, claims may be brought only on an individual basis, not as a plaintiff or member of any class, collective, or representative action. The arbitrator may award relief only in favour of the individual party seeking it. If this waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be heard in the state or federal courts in Wilmington, Delaware.

12.4 Rules and forum. Arbitration is governed by the Federal Arbitration Act and administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect (currently at adr.org), as modified here. The arbitration will be held in the county where you reside, or by phone or video, unless you and we agree otherwise. The arbitrator (a retired judge or a lawyer licensed in Delaware) decides the Dispute, issues a written award, and may grant any relief a court could on an individual basis. Questions about the class waiver, arbitration fees, conditions precedent, and which version of these Terms applies are decided by a court, not the arbitrator. Each party bears its own fees except as the AAA Rules or applicable law require, or where a claim is found frivolous.

12.5 Batch arbitration. If 100 or more substantially similar Requests are filed against Perdure by or with the help of the same lawyers or organisations within a 30-day window, the AAA will administer them in batches of 100, appoint one arbitrator per batch, and resolve each batch as a single consolidated arbitration with one set of fees per side per batch. This does not authorise any class or mass arbitration beyond this process.

12.6 30-day opt-out. You may opt out of this Section 12 by writing to Brox AI, Inc., 1734 Granville Avenue, Unit 2, Los Angeles, California 90025 within 30 days of first accepting these Terms, stating your name, the email on your account, and that you want to opt out of arbitration. Opting out does not affect the rest of these Terms.

12.7 Changes and survival. If we materially change this Section 12, we will notify you, and you may reject the change in writing within 30 days; otherwise the prior arbitration terms you accepted continue to apply to earlier-arising Disputes. Any Dispute must be started within the applicable statute of limitations. This Section survives termination of your account.

13. Electronic communications and notices

You agree that we may communicate with you electronically (in the app, by email, or by notices on the Service), and that electronic agreements, notices, and disclosures satisfy any legal requirement that they be in writing, consistent with the E-SIGN Act. It is your responsibility to keep a valid email address on file; a notice we send to that address is effective even if it does not reach you. 14. Termination

You may close your account at any time in the app or by emailing us. We may suspend or terminate your account for breach of these Terms, fraud, or where required by law, and on termination we may delete your account contents. If we terminate your account for cause, you agree not to re-register or access the Service under a different identity. Sections that by their nature should survive termination (including 4 to 6 and 9 to 13) survive.

15. Changes to these Terms

We may update these Terms. Changes are effective immediately for new users and 30 days after notice for existing members. If you keep using the Service after a change takes effect, that constitutes acceptance.

16. General

These Terms plus the Privacy Policy are the entire agreement between you and Perdure regarding the Service. These Terms are governed by the laws of the State of Delaware, consistent with the Federal Arbitration Act, and any court action permitted under these Terms will be brought exclusively in the state or federal courts in Wilmington, Delaware. We will not be liable for delays or failures caused by events outside our reasonable control (force majeure). You will comply with applicable export-control and sanctions laws and confirm you are not located in an embargoed country or on a restricted-party list. If any provision is found unenforceable, the rest remains in effect, and our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
